Previous Terms of Service

Last updated: October 18, 2026

Effective date

These terms apply to new accounts from October 18, 2026. For existing accounts, they take effect November 2, 2026, after notice in the dashboard. Until then, the previous terms continue to apply. This update does not retroactively change charges or override an existing written agreement.

1. Agreement

These terms govern your use of Cloady, a cloud application platform operated by NeptoLab LLC ("we", "us"). By creating an account or using the service you agree to them. If you use Cloady on behalf of an organization, you confirm you have authority to bind it.

2. The service

Cloady lets you create workspaces, deploy applications from a catalog, a Git repository, or an upload, and run them on managed infrastructure in a region you choose for each application. A workspace's resource allocation is calculated from its applications and their configuration.

3. Accounts

  • You must provide accurate information and keep your credentials and API tokens secure.
  • You are responsible for all activity under your account and tokens.
  • Each eligible workspace has a free resource threshold as published on our pricing page.

4. Resources and billing

  • You subscribe to CPU, memory and disk per workspace, billed monthly through Stripe. The rates are published on our pricing page and apply in every region.
  • What you subscribe to is the capacity your applications declare, multiplied by the scale you choose. It is not metered usage: an idle or stopped application keeps its capacity and its price.
  • A workspace is free while all of its allocated resources fit the free threshold. If any resource exceeds that threshold, the entire workspace allocation is billable, not just the excess. Managed backups are charged separately when enabled. Review the displayed price before confirming a resource change.
  • Increases are charged immediately and take effect once payment succeeds. Decreases take effect at your next renewal, so you keep the capacity already paid for.
  • If payment fails we'll retry and notify you. Continued non-payment leads to the workspace's applications being stopped; data volumes are preserved so you can resume after payment.
  • Fees are non-refundable except where required by law.

5. Your content

You own the code, data, and content you deploy. You grant us the rights needed to host, build, run, back up, and serve it — that's all we use them for. You are responsible for your content: that you have the rights to deploy it, and that it complies with the law and these terms.

Connected assistants and automation

You may authorize an assistant or API client to act on your account. Its actions are limited by the granted scope and workspace permissions, and can affect real resources. Review proposed changes, especially deletion, publication, or configuration changes. You can revoke access in account settings. AI output can be inaccurate; verify it before relying on it. Available tools can differ between integrations. Data handling is described in our Privacy Policy.

6. Acceptable use

You may not use Cloady to:

  • host or distribute malware, phishing pages, or spam infrastructure;
  • attack, scan, or disrupt networks or systems you don't have permission to test;
  • host content that is illegal in the region where it runs;
  • mine cryptocurrency or run workloads whose sole purpose is to exhaust shared resources;
  • resell the platform itself without our written agreement;
  • circumvent resource limits, billing, or workspace isolation.

Resource pools are shared infrastructure — sustained abuse that degrades service for others may be throttled or stopped.

7. Availability

We aim for high availability and publish live status at status.cloady.com, but the service is provided "as is" without a guaranteed service level. Maintenance, upstream provider incidents, and factors outside our control can cause interruptions. Keep independent backups of data you cannot afford to lose.

8. Suspension and termination

  • You can delete applications or workspaces and request account deletion through support. Deleting a workspace cancels its subscription; resource decreases and billing adjustments follow the billing terms above.
  • We may suspend or terminate access for material breach of these terms, legal requirement, or serious risk to the platform or other users. Where reasonable, we'll warn you first.
  • Deleting an application removes its workloads and data volumes. Do not rely on recovery of deleted applications. Separate backup copies follow the retention and deletion process in our Privacy Policy.

9. Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages, or for loss of data, profits, or business. Our total liability for any claim is limited to the amount you paid us in the twelve months before the event giving rise to it. Nothing in these terms excludes liability that cannot be excluded by law.

10. Changes to these terms

We may update these terms as the service evolves. For material changes we'll notify you by email or in the dashboard at least 14 days before they take effect; continued use after that constitutes acceptance.
